VideoQuant Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VideoQuant platform, website, APIs, and related services (the "Platform") between you ("User") and VIDEOQUANT INC. ("VideoQuant"). By accessing the Platform, you agree to these Terms. If you have a separate written agreement with VideoQuant, that agreement controls over any conflicts with these Terms.
1. License and Access
VideoQuant grants you a limited, non-exclusive, non-transferable, revocable license to access the Platform solely for internal business evaluation or authorized commercial use.
Trial/Evaluation Access: If using the Platform for trials, demos, or evaluations, commercial or production use is strictly prohibited. Trial access may be terminated anytime without notice. No service levels or support guarantees apply.
Prohibited Uses: You shall not: (i) reverse engineer, decompile, or derive source code/algorithms; (ii) use automated means (bots, scrapers, etc.) to access or extract data; (iii) circumvent usage limits or security measures; (iv) train competing models; (v) share credentials; (vi) systematically download or create datasets from Platform content; or (vii) impose unreasonable burden on infrastructure.
Scraping or systematic data extraction constitutes material breach resulting in immediate termination and liability for damages. VideoQuant may suspend or terminate access anytime at its sole discretion.
2. Intellectual Property
All Platform technology, algorithms, models, and output data ("VideoQuant IP") remain VideoQuant's exclusive property. Output data may only be used for internal evaluation and decision-making. These Terms grant no ownership rights.
You may not publish, disclose, or share output data externally without VideoQuant’s prior written consent.
Customer-provided data remains your property. You grant VideoQuant a limited license to use it solely to operate and improve the Platform. VideoQuant may use aggregated/anonymized output data for benchmarking and improvements.
Your Warranties: You represent and warrant that you have all necessary rights to any content you provide and that such content does not infringe, violate, or misappropriate any third-party rights or applicable law.
3. Confidentiality
Each party will maintain confidentiality of non-public information received from the other, using reasonable care, except information that is public, independently developed, rightfully received from third parties, previously known, or legally required to be disclosed. Confidentiality obligations survive for three (3) years following termination.
4. Disclaimers and Limitations
The Platform is provided “as is” and “as available.” VideoQuant disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. No guaranteed service levels, uptime, or specific outcomes.
VideoQuant's total liability shall not exceed the greater of (a) amounts paid by you in the preceding six months, or (b) $100. VideoQuant is not liable for indirect, consequential, or punitive damages, or for business decisions based on Platform outputs.
5. Indemnification
You agree to indemnify, defend, and hold harmless VideoQuant, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (i) your Platform misuse; (ii) your violation of these Terms; (iii) your content or data inputs; or (iv) claims alleging that your data or content infringe third-party IP.
6. General
Modifications: VideoQuant may modify the Platform or these Terms anytime. Continued use constitutes acceptance.
Termination: Upon termination, all granted rights cease. Provisions regarding confidentiality, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution survive termination.
Governing Law and Disputes: These Terms are governed by Delaware law. Any disputes shall be settled amicably by mutual discussion, failing which the same shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Delaware. You consent to the exclusive jurisdiction and venue of the AAA in Delaware, USA. Each party waives any right to participate in class actions or jury trials.
Entire Agreement: These Terms constitute the entire agreement unless superseded by separate written agreement.
